EMPLOYMENT AGREEMENT- EXECUTIVE



This AGREEMENT, entered into this ___ day of _______, 20__, between __________, having its business address at _________________, a company incorporated under the laws of [Province], Canada (hereinafter referred as the "Company"),



and



_____________________, having his/her permanent address at __________________________, with passport/social insurance number being _________ (hereinafter referred as the "Employee"),





WITNESSETH:



WHEREAS, the parties hereto desire to enter into this Agreement for setting out the terms and conditions of the eomploment between the Employee and the Company in general and to train the Employee for [the duty or responsibility of the employee] as the Employee of the Company and provide them with training and in general define and set forth the terms and conditions of the employment of the Employee by the Company;



NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, it is hereby covenanted and agreed by the Company and the Employee as follows, the parties agree as follows:



1. Position; Employment Period



1.1 The Company hereby employs the Employee as its [position], and the Employee hereby agrees to serve in such capacity, for the period beginning [start date], 20__, and ending on the date_______, for a period of ____ (___)years.



1.2 An Employee if chooses to receive the training, should be obligated to work for the Company for a period of ____ (___)years and will not be able to work for any of our competitors within this period.



2. Performance of Duties



2.1 The Employee agrees that during the Employment Period he/she shall devote his/her full business time to the affairs of the Company and shall perform his/her duties faithfully and efficiently subject to the direction of the Company.



2.2 [Any other specific duty which the company wishes the employee to follow]



3. Compensation



Subject to the following provisions of this Agreement, during the Employment Period the Employee shall be compensated for his/her services as follows:



(a) He shall receive an annual salary, payable in monthly or more frequent installments, in an amount which shall initially be [CAD $ amount] per annum, subject to such increases as may from time to time be determined by the Company.





4. Confidentiality



During and after the Employment Period, the Employee will not divulge or appropriate to his/her own use or to the use of others, in competition with the Company, any secret or confidential information or knowledge pertaining to the business of the Company.



5. Remedies



If at any time the Employee violates to a material extent any of the covenants or agreements set forth herein, the Company shall have the right to terminate all of its obligations to make further payments to the Employee and retain the Employee as the Employee of the Company.





6. Amendment and Termination



This Agreement may be amended or cancelled by mutual agreement of the parties without the consent of any other person and, so long as the Employee lives, no person, other than the parties hereto, shall have any rights under or interest in this Agreement or the subject matter hereof.





7. Applicable Law



The provisions of this Agreement shall be construed in accordance with the laws of the Province of [Province].
